March 2024: Ensors’ Corporate Finance team are pleased to announce their involvement in the sale of 100% of the share capital of Castons Consulting Ltd (and its sister company CCAS Ltd) to Artelia Holding SAS, also known as Artelia Group.

Based in Ipswich, Castons provides a full range of chartered surveying, consultancy, and project management services to its clients in the construction sector. In addition, through CCAS, it provides health & safety training and advice. With a history dating back to 1895, Castons has a rich tradition of serving its clients across the UK, with a particular focus on East Anglia.

Artelia Group are a large multi-national project management, engineering and consultancy business headquartered in France. Its acquisition of Castons is aimed to bolster its UK offering, particularly in the arena of project consultancy.

Peter Dring of Castons said of the sale: “By joining forces with Artelia, Castons sees an incredible opportunity to expand its horizons and offer even greater value to our clients. The synergies between our two companies are undeniable, and together, we are poised to integrate a comprehensive range of professional services to pursue exciting new opportunities in the East of England and beyond.”

Ensors, led by David Scrivener and Andrew Warner, provided full corporate finance lead advisory services, from marketing the business, through to negotiating Heads of Terms with Artelia Group and advising on the financial and tax aspects of the SPA and other legal documents.

Peter Dring further commented on the advice provided by Ensors: “Showing great professionalism combined with their detailed knowledge of our business, Ensors guided us through the process with clear and effective advice to ensure that we not only complied with the necessary rules & regulations but that our financial and business interests were fairly protected in a deal with a much larger overseas based organisation. All this with patience and a welcome sense of humour at those times when it was appropriate.

I recommend Ensors for any organisation contemplating exploring the market and providing advice towards a successful sale.”

David Scrivener noted: “It was a great pleasure working with Peter and Matthew on this transaction. I came to know them well over the time that we spent together in bringing this sale to a conclusion and although at times it was a testing process, I am so happy to see them reap the benefits of the years they have spent building Castons into a top firm.”

Sale-side legal advice was provided by the Birketts team of Alexandra Nelson, Rachel Astill, and Lucy Easey. The Artelia team was led by Régis Peltier, with external advice from Lewis Silkin and Accuracy.
